Terms of Service

1. Agreement

By accessing or using MemberLane ("the Platform"), operated at memberlane.app, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

MemberLane provides tools for creators and businesses to sell paid communities, memberships, and digital products. The Platform facilitates payment processing, subscription management, and automated access control for Discord, Telegram, and WhatsApp communities.

3. Accounts

  • You must be at least 18 years old to create an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when registering.
  • One person or entity may operate multiple workspaces, but each workspace must represent a legitimate business or community.

4. Workspace Owners (Merchants)

If you create a workspace and sell products through MemberLane:

  • You are responsible for the content, products, and communities you offer through the Platform.
  • You must comply with all applicable laws, including consumer protection, tax, and data privacy regulations in your jurisdiction.
  • You are responsible for collecting and remitting applicable taxes (including VAT) unless the Platform explicitly handles this on your behalf.
  • You must not sell products or services that are illegal, fraudulent, or violate third-party rights.
  • You must honour refund obligations as required by applicable consumer protection laws (including the EU 14-day withdrawal right where applicable).

5. Members (Buyers)

If you purchase a product or membership through MemberLane:

  • Your payment is processed by our third-party payment provider. By making a purchase, you also agree to the payment provider's terms of service.
  • Access to community platforms (Discord, Telegram, WhatsApp) is granted automatically and may be revoked if your subscription ends or payment fails.
  • Refund policies are set by each workspace owner. Contact the workspace owner directly for refund requests.

6. Payments and Fees

  • MemberLane charges a transaction fee on each payment processed through the Platform. The fee depends on your workspace plan (Free: 15%, Business: 4%, Premium: 3%).
  • Payments are processed via our payment provider. Funds are transferred directly to the workspace owner's connected account minus the platform fee.
  • Platform plan subscriptions (Business, Premium) are billed monthly and can be cancelled at any time. No refunds are provided for partial billing periods.

7. Prohibited Use

You may not use MemberLane to:

  • Sell illegal goods, services, or content.
  • Engage in fraud, phishing, or deceptive practices.
  • Distribute malware or interfere with the Platform's infrastructure.
  • Violate the intellectual property rights of others.
  • Harass, threaten, or abuse other users.
  • Circumvent platform fees or manipulate referral/affiliate systems.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Intellectual Property

The MemberLane platform, including its design, code, and branding, is owned by us. You retain ownership of all content you create and sell through the Platform. By using the Platform, you grant us a limited licence to display and distribute your content as necessary to provide the service (e.g., on your storefront page).

9. Availability and Liability

  • We strive for high availability but do not guarantee uninterrupted service. The Platform is provided "as is" without warranty of any kind.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
  • Our total liability to you shall not exceed the amount you paid to MemberLane in the 12 months preceding the claim.
  • We are not responsible for the actions, content, or policies of workspace owners or connected third-party platforms.

10. Termination

  • You may delete your account at any time from your workspace settings.
  • We may suspend or terminate your account if you violate these terms, with or without notice depending on severity.
  • Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Governing Law

These terms are governed by the laws of Denmark. Any disputes shall be resolved in the courts of Denmark, without prejudice to any mandatory consumer protection rights in your country of residence.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform at least 30 days before they take effect. Continued use after changes constitutes acceptance.
